Terms of Service

Effective: 2026-06-01 · Version 2.1

These Terms of Service ("Terms") govern your access to and use of the Sydium platform and related services. Please read them carefully. By creating an account or using Sydium, you agree to be bound by these Terms.

If you are a consumer in the EU/EEA/UK

You have additional protections under EU consumer law that cannot be waived by these Terms. In particular: a 14-day right of withdrawal (see Section 10), mandatory legal warranties on digital services, and the right to bring proceedings in the courts of your country of residence. Nothing in these Terms limits any right you have that cannot be limited by contract.

Definitions

1. Definitions

Throughout these Terms, the following defined terms have these meanings:

  • Sydium / we / us / our. Parhelion Software SRL, a company incorporated under the laws of Romania, registered office at România, Galați, str. Vânători nr. 35, trade register number J17/67/2013, VAT number RO31105708.
  • Service. The Sydium web application available at sydium.com and any associated APIs, mobile interfaces, and features.
  • Account. A user account on the Service, created by signing up with an email address or supported social login.
  • Team. A workspace within the Service that may have one or more members, with the original creator as the owner.
  • Subscription. A paid plan that unlocks features beyond the free tier, billed monthly or annually.
  • User Content. Any content you upload, create, schedule, or publish through the Service, including text, images, video, audio, brand voice training material, and connected social media account data.
  • Generated Content. Content produced by the Service's AI features in response to your input.
  • You / your. The individual or legal entity using the Service. If you are using the Service on behalf of an organization, "you" refers to that organization, and you represent that you have authority to bind it.
Agreement

2. Acceptance and Eligibility

By creating an Account, accessing, or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 16 years old to use the Service. If you are in a jurisdiction with a higher age of digital consent, that age applies. If you are between 16 and 18 (or your local age of majority), you confirm that a parent or legal guardian is aware of your use of the Service. The Service is not directed at children under 16.

If you are using the Service in your professional capacity or on behalf of an organization, you confirm you have the authority to enter into these Terms on its behalf. The organization is the contracting party.

Platform

3. The Service

Sydium is an AI-assisted social media management platform. The Service includes (but is not limited to):

  • AI-assisted text, image, and video idea generation
  • Content scheduling, calendar management, and recurring posts
  • Multi-platform publishing to Facebook, Instagram, LinkedIn, TikTok, X, YouTube, Pinterest, Bluesky, Threads, and Mastodon
  • Engagement and inbox features that read comments and messages from connected accounts
  • Analytics that aggregate data from connected social platforms
  • Brand Voice training that learns your writing style from documents and existing posts you provide
  • Team collaboration and approval workflows

We may add, modify, or discontinue features over time. We will give you reasonable advance notice of any change that materially reduces the functionality of a paid plan you are currently on, and you will be entitled to a pro-rata refund if the change leaves the plan substantially less useful for your purpose.

Accounts

4. Accounts and Security

To use most features you need to register for an Account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your information up to date
  • Maintain the security and confidentiality of your login credentials
  • Be responsible for all activity that occurs under your Account
  • Notify us promptly at legal@sydium.com of any unauthorized use of your Account or any other suspected security breach

If you are part of a Team, the Team owner may have administrative rights over your Account within that Team (for example, to remove your access). Your contractual relationship with us remains governed by these Terms regardless of Team membership.

Content

5. Your Content and Generated Content

Ownership of Your Content. You retain all ownership and intellectual property rights in your User Content. We do not claim any ownership of it.

License you grant us. You grant Sydium a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process your User Content solely as necessary to provide the Service to you (for example, to schedule a post and deliver it to the social platform you selected). This license terminates when you delete the content or your Account, except as needed to comply with legal obligations, resolve disputes, or enforce our agreements (and except for copies that may persist in routine backups for a limited period - see our Privacy Policy retention schedule).

Ownership of Generated Content. As between you and Sydium, you own the Generated Content produced for you by the Service, to the maximum extent permitted by applicable law and the terms of the underlying AI providers (currently OpenAI and Anthropic for text, OpenAI for audio transcription, and fal.ai for images and video). You are responsible for reviewing Generated Content before publishing and for ensuring it is accurate, lawful, and appropriate for its intended use.

AI Generated Content may not be unique. Other users of the same underlying models may receive similar or identical outputs. You should not assume Generated Content is original, fact-checked, or free from third-party rights.

You agree not to use the Service to create, store, schedule, or distribute content that:

  • Is illegal under applicable law, harmful, threatening, abusive, or defamatory
  • Infringes any intellectual property or other proprietary rights of another person
  • Contains malware, exploit code, or anything designed to interfere with the Service or other systems
  • Violates applicable laws or regulations (including consumer protection, advertising, and platform rules)
  • Impersonates any person or entity, or misrepresents your affiliation
  • Falls within the categories prohibited by our Acceptable Use Policy (Section 8)
Brand Voice

6. Brand Voice and AI Training Content

Brand Voice. The Service includes a Brand Voice feature that lets you upload documents and connect social media accounts so the Service can learn your writing style and generate content that sounds like you.

Your warranty on training material. By uploading documents or connecting accounts for Brand Voice training you represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to use the material for this purpose
  • The material does not infringe the intellectual property, privacy, publicity, or any other rights of any third party
  • You have authority to grant us the rights necessary to process and analyze the material for Brand Voice

Processing and retention. Material uploaded for Brand Voice training is processed to extract writing patterns, tone, and stylistic characteristics. We do not republish or sell your training material. The raw documents are retained for as long as the Brand Voice exists, so you can re-train or audit it; you can delete them (and the Brand Voice) at any time from the Brand Voice settings, at which point the raw materials are removed from active systems and purged from backups within 30 days.

Our warranties to you. We use third-party AI providers (currently OpenAI, Anthropic, and fal.ai) under their respective business or commercial terms, which include their own intellectual property and indemnification commitments. We pass those commitments through to you to the extent we are permitted to do so. We will not knowingly use AI models that train on your prompts or outputs; current providers do not train on inputs from business / API customers by default.

Indemnification (training material). You agree to indemnify and hold harmless Sydium and its affiliates from any third-party claim, damage, loss, or reasonable expense (including reasonable legal fees) arising from your breach of the warranties in this section - in particular, claims that material you uploaded for Brand Voice training infringes third-party rights. This indemnity does not apply if and to the extent the claim is caused by our gross negligence or willful misconduct.

User media

7. Uploaded Audio, Video, and Other Media

Media uploads. The Service lets you upload audio, video, and other media to attach to posts.

Your warranty on uploaded media. By uploading any audio, music, video, or other media you represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to use it
  • Your use does not infringe any copyright, trademark, publicity, or other right
  • Any music, sound effects, or other licensed material is used within the scope of your license (including commercial use, if applicable)
  • Where required, you have obtained the consent of any identifiable individuals appearing in the media

No screening. We do not screen, review, or verify uploaded media for copyright or other rights compliance. We act as a tool provider and do not claim ownership of uploaded media.

Indemnification (media). You agree to indemnify Sydium against third-party claims arising from your use of copyrighted, trademarked, or otherwise restricted material, except where the claim is caused by our gross negligence or willful misconduct.

Third-party platform actions. Social media platforms may independently flag, mute, restrict, or remove content. Sydium is not responsible for actions taken by third-party platforms regarding content you publish through us.

Acceptable use

8. Acceptable Use Policy

You agree not to use the Service to upload, store, schedule, publish, or distribute content that is:

  • Adult or sexually explicit content. Pornography, nudity for sexual purposes, sexually explicit imagery or video, fetish content, escort or adult-services promotion, or content primarily intended for sexual gratification.
  • Violent or harmful content. Promotion of violence, self-harm, terrorism, or graphic depictions of injury or death.
  • Child sexual abuse material (CSAM) or content endangering minors. Any sexual or exploitative content involving anyone under 18, or content reasonably likely to endanger minors. We report suspected CSAM to NCMEC and to law enforcement as required.
  • Harassment, threats, and abuse. Content intended to harass, bully, intimidate, threaten, or dox any individual or group.
  • Illegal activity. Content that promotes, facilitates, or relates to activity illegal in the user's or recipient's jurisdiction (including drug trafficking, fraud, money laundering, or evasion of sanctions).
  • Hate speech and extremism. Content that promotes hatred, discrimination, or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin, including glorification of designated extremist organizations.
  • Spam, manipulation, and deception. Bulk automated content, fake engagement, engagement manipulation, coordinated inauthentic behavior, or deceptive practices designed to artificially inflate metrics or mislead audiences.

Enforcement. We may review content uploaded to or scheduled through the Service when we have reason to believe it may violate this policy or applicable law. Where we determine in our reasonable judgment that a violation has occurred, we will:

  1. For clear and severe violations (e.g., CSAM, credible threats of violence, sanctions evasion): suspend the Account immediately, preserve evidence as required, and notify relevant authorities. No refund will be provided.
  2. For other violations: give you written notice of the specific violation and a reasonable opportunity to remove the content or otherwise cure the breach, before suspending or terminating the Account.
  3. For repeated violations after warning: terminate the Account. We will refund any unused prepaid Subscription fees on a pro-rata basis, except where termination is due to a clear and severe violation.

Statement of reasons and appeal. Where we restrict, remove, or suspend access to content or your Account on the basis of this policy, we will (to the extent required by the EU Digital Services Act and not prohibited by law) give you a clear statement of reasons and the opportunity to appeal the decision by replying to legal@sydium.com. Appeals are reviewed by a human within 14 days.

Reporting violations. If you become aware of content on our platform that violates this policy, please report it to legal@sydium.com.

Billing

9. Subscriptions, Billing, and Cancellation

Free plan. We offer a free plan with limited features. We may modify or discontinue the free plan with 30 days' advance notice (by email or in-product notice).

Paid plans. Paid Subscriptions are sold either monthly (billed every month) or annually (billed every 12 months, in advance). Prices are listed in US dollars (USD) unless otherwise indicated. Applicable taxes (including EU VAT, where required) are calculated and shown at checkout and collected by our payment processor (Stripe).

Annual plans are a 12-month commitment. If you choose an annual plan, you commit to a 12-month term. You may cancel the renewal at any time, but the current annual term is non-refundable except (a) within the 14-day withdrawal window described in Section 10, or (b) where we materially reduce the Service in a way that leaves your plan substantially less useful for its purpose. Downgrading mid-term does not result in a refund.

Renewals. Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current published price, unless cancelled before renewal. We will email you a renewal reminder at least 7 days before any annual renewal.

Price changes. We may change the price of any plan. For existing Subscriptions, the new price applies starting at the next renewal after at least 30 days' written notice. If you do not accept the new price, you can cancel renewal before the new price takes effect and continue at the current price until the end of your current term.

Failed payment. If a payment fails, we will retry the charge and notify you. If the failure is not resolved within 14 days, we may downgrade the Account to the free plan; we will not delete content or terminate the Account on this basis alone.

Cancellation. You can cancel renewal at any time from your billing settings. Cancellation is effective at the end of the current billing period; you keep access until then. We do not provide refunds for partial billing periods, except as required by law or by Section 10.

Withdrawal

10. EU/EEA/UK Consumer Withdrawal Right

Who this section applies to. If you are a consumer (an individual acting outside your trade, business, craft, or profession) residing in the EU/EEA or the United Kingdom, you have a statutory right to withdraw from a paid Subscription within 14 days of starting it, without giving any reason.

How to withdraw. Within 14 days of purchase, send an unambiguous statement of withdrawal to support@sydium.com. You may use the model withdrawal form below, but you are not required to. Once we receive your withdrawal notice we will refund the Subscription fee within 14 days, using the same payment method you used to pay, at no cost to you.

Loss of withdrawal right. If you expressly request that we begin providing the Service before the end of the 14-day withdrawal period and you acknowledge that you will lose your withdrawal right once the Service has been fully provided, the withdrawal right ends when full performance has been delivered. For ongoing subscriptions, this typically means you do not lose the right within the 14 days unless you have specifically waived it and the Service has been fully consumed.

Business customers (sole traders or organizations using the Service for professional purposes) are not consumers under EU law and do not benefit from this statutory withdrawal right. The standard cancellation terms in Section 9 apply.

IP

11. Our Intellectual Property

The Service - including its software, design, logos, marks, documentation, and original content - is owned by Sydium and is protected by Romanian, EU, and international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms and your Subscription. This license does not include rights to: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or attempt to extract the source code, except to the extent permitted by mandatory law; (c) resell, sublicense, or commercially exploit the Service or any part of it; or (d) remove or obscure any proprietary notices.

If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation to you.

Disclaimers

12. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate, reliable, or fit for your particular purpose
  • AI-generated content will be accurate, original, or suitable for any specific use - you must review it before publishing
  • Connected social media platforms will continue to support the integrations we currently provide, or that their APIs will remain available

Nothing in this section excludes or limits any statutory warranty or guarantee that cannot be excluded or limited by contract under the law of your country of residence. EU/EEA/UK consumers retain all statutory warranties on digital services.

Liability

13. Limitation of Liability

Excluded damages. To the maximum extent permitted by law, in no event will Sydium be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, goodwill, data, or business opportunity, arising out of or related to your use of the Service - even if we have been advised of the possibility of such damages.

Cap on direct damages. To the maximum extent permitted by law, Sydium's total cumulative liability arising out of or related to these Terms or the Service is limited to the greater of: (a) the total amount you paid Sydium for the Service in the 12 months immediately preceding the event giving rise to the claim, or (b) USD 100.

Things we don't try to limit. Nothing in these Terms excludes or limits our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) gross negligence or willful misconduct; (iv) any liability that cannot be excluded or limited under applicable law (including the mandatory consumer protections of EU/EEA/UK consumers' country of residence).

You acknowledge that the pricing of the Service reflects this allocation of risk and that, without this limitation, we would not be able to offer the Service at its current price.

Indemnity

14. Indemnification

By you. To the extent permitted by law, you will defend, indemnify, and hold harmless Sydium and its affiliates against any third-party claim, damage, or reasonable expense (including reasonable legal fees) arising from: (a) your User Content; (b) your use of the Service in breach of these Terms or applicable law; or (c) your infringement of any third-party right (intellectual property, privacy, publicity, or otherwise).

By us. To the extent permitted by law and by the terms of our upstream AI providers, we will pass through to you the indemnification commitments those providers make to us regarding their AI outputs (for example, OpenAI's and Anthropic's copyright shields on their business/API tiers). This is the only indemnification we provide unless separately agreed in writing.

Process. The indemnifying party's obligations are conditional on the indemnified party: (i) promptly notifying the indemnifying party of the claim; (ii) giving the indemnifying party reasonable control of the defense and settlement (provided the settlement does not impose any non-monetary obligation on the indemnified party without consent); and (iii) reasonably cooperating in the defense.

Termination

15. Termination

By you. You may stop using the Service at any time, cancel renewal of any Subscription (Section 9), and delete your Account from the account settings.

By us for cause. We may suspend or terminate your Account immediately, without prior notice, if (a) you materially breach these Terms or our Acceptable Use Policy, (b) we are required to do so by law or court order, or (c) continued provision of the Service to you creates a material risk to other users, to us, or to third parties. Where the breach is curable, we will give you reasonable notice and an opportunity to cure (see Section 8 enforcement), except for clear and severe violations.

By us for convenience. We may terminate any free plan Account for convenience on at least 30 days' written notice. We may terminate a paid Subscription for convenience only at the end of its current term, on at least 30 days' written notice; in that case, we will refund any prepaid fees attributable to periods after the termination date.

Effect of termination. On termination, your right to access the Service ends. We will, on request, provide you a reasonable opportunity to export your data before deletion (see our Privacy Policy retention schedule for default deletion timing). Sections that by their nature survive termination (including 5, 6, 7, 11, 12, 13, 14, 16, 19, and 20) survive.

Suspension

16. Suspension

We may suspend (rather than terminate) your access to part or all of the Service: (a) to address a security incident or perceived threat; (b) where required to comply with law or a binding order; (c) for non-payment after the grace period in Section 9; or (d) where we reasonably suspect a material breach of these Terms while we investigate. We will lift the suspension as soon as the underlying cause is resolved. Suspension does not pause billing on a paid Subscription unless we say so in writing.

DSA

17. EU Digital Services Act Compliance

We comply with the EU Digital Services Act (Regulation (EU) 2022/2065) in our capacity as a provider of hosting services.

Point of contact for authorities (Art. 11). Authorities of EU Member States, the European Commission, and the European Board for Digital Services may contact us at legal@sydium.com in English. Submissions in other EU official languages are accepted but may take longer to process.

Point of contact for users (Art. 12). You may contact us at legal@sydium.com for any DSA-related matter, including questions about content moderation decisions affecting your Account.

Complaint mechanism (Art. 20). If we restrict, remove, suspend, or disable access to your content or Account on the basis of these Terms or our Acceptable Use Policy, you may submit a complaint by replying to the notice we send you or by emailing legal@sydium.com. Complaints are reviewed by a human within 14 days and we will inform you of the outcome and reasoning. Where a complaint is resolved in your favor, we will reverse the underlying action.

Out-of-court dispute settlement (Art. 21). Where we cannot resolve a content-moderation dispute through our internal complaint mechanism, you may select a certified out-of-court dispute settlement body in your EU Member State. Decisions of such bodies are not binding on you or us, but we will engage in the procedure in good faith.

Transparency reports. We will publish DSA transparency reports at the frequency required by the Regulation.

Disputes

18. Dispute Resolution

Talk to us first. Before initiating any formal proceeding, please contact us at legal@sydium.com with a clear description of the dispute and the resolution you are seeking. We will make a good-faith attempt to resolve the dispute within 30 days.

EU online dispute resolution (consumers only). If you are an EU consumer, you can also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. Our email for that platform is support@sydium.com. We are not obligated to use this platform but may engage with it on a case-by-case basis.

Romanian National Consumer Protection Authority. EU consumers may also lodge a complaint with the Romanian National Consumer Protection Authority (Autoritatea Națională pentru Protecția Consumatorilor - ANPC) at https://anpc.ro/, or with the consumer protection authority in their own EU Member State of residence.

No class actions. To the maximum extent permitted by law and except where prohibited (including against EU consumers, who retain all collective redress rights granted by their national law), you agree to bring any claim against us only in your individual capacity, and not as a plaintiff or class member in any class, collective, or representative action.

Law

19. Governing Law and Jurisdiction

Governing law. These Terms are governed by the laws of Romania, without regard to conflict of laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

Jurisdiction (non-consumer). For users who are not consumers, the courts of Galați, Romania have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.

Consumers' choice of forum. If you are a consumer in the EU/EEA/UK, this Section does not deprive you of the right to bring proceedings in the courts of your country of residence, or to invoke the consumer-protection laws of that country. Where mandatory rules of your country apply, they apply notwithstanding our choice of Romanian law.

Updates

20. Changes to These Terms

We may update these Terms from time to time. For non-material changes (typos, clarifications, formatting) we will simply update the page. For material changes (anything that meaningfully affects your rights or obligations) we will:

  • Update the Effective Date at the top of the page
  • Send you an email at the address on your Account at least 30 days before the change takes effect
  • Show an in-product notice on your next login

If you do not agree to a material change, you may cancel renewal of any paid Subscription before the change takes effect and we will continue to honor your current Terms until the end of your current Subscription term. Continued use of the Service after the effective date constitutes acceptance of the new Terms.

Misc

21. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy form the entire agreement between you and Sydium regarding the Service and supersede any prior agreements.
  • Severability. If any provision of these Terms is held to be unenforceable, the rest of the Terms remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them to a successor entity in connection with a merger, acquisition, or sale of substantially all of our assets.
  • Independent parties. We are independent contractors. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship.
  • Force majeure. Neither party is liable for any delay or failure to perform due to circumstances beyond its reasonable control (including natural disasters, war, pandemics, internet outages, or governmental action), to the extent permitted by law.
  • Notices. We give notices by email to the address on your Account or by an in-product notice. You give notices by email to legal@sydium.com unless a different address is specified for a particular purpose.
